A foreign investor has two options for making investments or running a business in Nepal: (i) forming a limited liability company there, or (ii) purchasing shares of an already-existing limited liability company. Both private limited companies and public limited companies may be incorporated by foreign investors. One shareholder can also be included in a private limited company. Public limited businesses must have seven shareholders or more in order to be incorporated. The registration of limited liability partnerships is not covered.
Digital Service Tax – Introduced by Finance Act 2079/80
Digital service tax is now in place for digital services supplied to resident consumers by non-resident individuals under the Finance Act 2079/80 (2022–23). If a non-resident person provides digital services to a resident consumer and the yearly transaction value of such services exceeds two million, a digital service tax will be imposed at the rate of two percent of the transaction value (exclusive of indirect taxes charged in Nepal).
